Terms of Service

Welcome to Layover. These Terms of Service ("Terms") govern your use of the Layover mobile application (the "App"), operated by KYC Collective LLC ("Layover," "we," "us," "our"). By creating an account or using the App, you agree to these Terms.

Layover is a private community for verified aviation professionals (pilots, flight attendants, dispatchers, maintenance technicians, and other working aviation industry roles) and approved travel industry members (e.g., corporate travel managers, airline office staff, hospitality industry professionals, and other travel-related roles approved by Layover).

Throughout these Terms, "Verified Member" or "user" means a person whose Layover account has been approved through our verification process and who falls into one of the eligibility groups above.

1. Eligibility

• You must be at least 18 years old to create an account or use Layover.
• You must be either (a) an active aviation professional at the time of signup, or (b) an approved travel industry member, as determined by Layover at our sole discretion.
• You must submit a verification photo and meet any other criteria we set. Verification can be revoked at any time if we discover misrepresentation or if your eligibility otherwise changes.
• You may have only one Layover account.
• You may not use Layover if your account has previously been removed for violating these Terms.

2. Your account

You are responsible for:

• Providing accurate, current, complete information at signup and keeping it updated.
• Maintaining the security of your account credentials and notifying us immediately of unauthorized access.
• All activity that occurs under your account.

3. Acceptable use

You agree not to:

• Misrepresent your identity, role, employer, or eligibility as an aviation professional or approved travel industry member.
• Use photos that are not of you, photos of other people without their permission, photos of celebrities, or otherwise impersonate someone.
• Submit a verification photo that is not your own, or otherwise attempt to defeat our verification process.
• Harass, threaten, intimidate, or stalk any Verified Member, or send unwelcome sexual content to anyone.
• Share non-consensual intimate imagery of any person, including yourself or other users.
• Send unsolicited advertising, recruitment messages, multi-level-marketing pitches, or solicitations of any kind.
• Solicit money, gifts, financial arrangements, or escort or sex-work services.
• Share another Verified Member's personal information, photos, or private messages outside of Layover without their explicit permission.
• Use the App to facilitate illegal activity, including drug trafficking, fraud, or solicitation of minors.
• Attempt to access, probe, or scrape parts of the App you are not authorized to access.
• Use automated tools (bots, scrapers, scripts) to interact with the App.
• Create a new account after we have removed a previous account of yours.

We reserve the right to suspend or terminate accounts that violate these rules, at our sole discretion, with or without notice.

4. Verification

Layover requires a verification photo and identifying information to confirm you are a real, eligible user. By submitting verification, you confirm the information you provide is true and that you are authorized to submit it.

We may, at our discretion, request additional verification (e.g., crew ID, flight schedule, employer confirmation, or other supporting documentation appropriate to your role) to confirm your eligibility. Verification approval is not guaranteed, and approval is revocable at any time.

5. Your content

You retain ownership of the photos, prompts, bios, messages, and other content ("Your Content") you submit to Layover.

By submitting Your Content, you grant Layover a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and transmit Your Content for the purpose of operating the App (e.g., showing your profile to other users, delivering your messages, storing your verification photo).

This license ends when you delete Your Content or your account, except where retention is required by law or to enforce these Terms.

You represent that Your Content does not infringe on anyone else's rights and that you have the right to submit it.

6. Communications between Verified Members

Layover lets Verified Members communicate with each other when they match. Messages are stored on our servers so that you can access them across devices.

Layover does not review or moderate every message in real time. However, we may review messages if a report of misconduct is filed, or as required by law.

You are solely responsible for the content of your messages and for your interactions with other Verified Members — including in-person meetings. Layover is not a party to any arrangement, relationship, or transaction between Verified Members.

7. Reports and moderation

If a Verified Member behaves inappropriately or violates these Terms, you can report them through the App (tap the report icon on their profile or in your chat with them) or by emailing support@layoverglobal.com.

Once a report is filed:

• We aim to review the report within 72 hours.
• We may review the reported member's profile, verification photo, messages, and any other relevant information as part of our investigation.
• Depending on severity, possible outcomes include a warning, a feature restriction, a temporary suspension, or permanent removal from Layover.
• We do not share the reporter's identity with the reported member unless required by law.
• Members removed from Layover may not create new accounts. Attempting to do so is itself a violation of these Terms.
• All moderation decisions are made at our sole discretion and are final.

Emergency situations. If you are in immediate danger or believe a crime has been committed, contact your local emergency services first (911 in the United States). Layover is not a substitute for law enforcement. After contacting authorities, please also email us so we can take prompt action on the offending account and cooperate with any investigation.

8. Safety

Layover does not conduct criminal background checks on Verified Members. We rely on the integrity of the aviation and travel industry community and on our verification process, but we cannot guarantee that any Verified Member is safe to meet.

9. Termination

You may delete your account at any time from within the App or by emailing us. Upon deletion, your profile, photos, pins, and messages are removed in line with our Privacy Policy.

We may suspend or terminate your account at any time, with or without cause and with or without notice, including (but not limited to) for breach of these Terms, fraud, harassment, fraudulent verification, or behavior that puts other users at risk.

10. Subscriptions and fees

Layover is currently free to use. We reserve the right to introduce paid features or subscriptions in the future. Any new charges will be clearly disclosed in advance and require your affirmative consent before billing.

11. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF VERIFICATION. LAYOVER DOES NOT GUARANTEE UPTIME, BUG-FREE PERFORMANCE, THAT ANY USER WILL BE COMPATIBLE WITH YOU, OR ANY PARTICULAR OUTCOME FROM USING THE APP.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYOVER AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE APP. OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE APP SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNT YOU HAVE PAID TO LAYOVER IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g., gross negligence or willful misconduct).

13. Indemnification

You agree to defend, indemnify, and hold harmless KYC Collective LLC from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your violation of these Terms or your use of the App.

14. Dispute resolution and governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the App shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may modify these Terms from time to time. We will notify users of material changes through the App or by email. Continued use of the App after changes take effect means you accept the updated Terms.
